Terms of Service
These Terms of Service ("Terms") govern your access to and use of PrepayLedger (the "Service"), an online supplier-prepayment ledger operated by Yun Ding Shi Dai. ("we", "us", "our"). By creating an account or continuing to use the Service, you agree to these Terms on behalf of yourself and the company you register (the "Customer"). If you do not agree, do not use the Service.
1. The Service
PrepayLedger is a record-keeping software-as-a-service that lets businesses record prepayments made to their suppliers, record shipments deducted from those prepayments, import shipping data, and export statements. The Service does not hold, transfer or move money between you and your suppliers.
2. Accounts
You must provide accurate information and keep your login credentials secure. The person who registers a company account is its administrator and is responsible for the users they invite and for all activity under the company account.
3. Free trial
New company accounts receive a 7-day free trial. No payment details are required for the trial. At the end of the trial, access to the Service's features requires a paid subscription.
4. Subscriptions, payment and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payments are also subject to Paddle's Buyer Terms.
- Plans: Monthly (US$9.90 per month), 6 Months (US$39.90 every 6 months) and Yearly (US$59.90 per year), charged per company. Applicable taxes are calculated and added at checkout.
- Renewal: Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.
- Cancellation: You may cancel at any time from the Billing page in the app or via Paddle. Cancellation takes effect at the end of the current paid period, and you keep access until then.
- Plan changes: When you switch plans, charges are prorated for the remainder of the current period.
- Failed payments: If a renewal payment fails, Paddle may retry it. If payment is not completed, access to the Service may be suspended until payment is made.
- Price changes: We will give you reasonable advance notice of any price change, which will apply from your next billing period.

5. Acceptable use
You agree not to: use the Service for any unlawful purpose or to store unlawful content; commit fraud or send spam; infringe anyone's intellectual property or privacy rights; attempt to gain unauthorised access to the Service, other accounts or our systems, or interfere with the Service's security or performance; or resell the Service without our written consent.
6. Your data
You retain all rights to the data you enter into the Service ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide and support the Service. You are responsible for the accuracy and lawfulness of Customer Data. You can export your records at any time using the Service's export features. Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
We and our licensors own all rights, title and interest in the Service, including its software, design and trademarks. These Terms do not transfer any of those rights to you other than the limited right to use the Service during your subscription.
8. Service availability
We work to keep the Service available and secure, but the Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free or free of data loss, and you should keep your own exports of important records. The Service is a record-keeping tool and does not provide accounting, tax or legal advice.
9. Suspension and termination
We may suspend or terminate access to the Service if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly commit serious violations. You may stop using the Service and cancel your subscription at any time. After termination we may delete Customer Data after a reasonable retention period.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data. Our total liability arising out of or relating to the Service in any 12-month period is limited to the amount you paid for the Service in that period. Nothing in these Terms limits liability that cannot be limited under applicable law, or your statutory rights as a consumer.
11. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and, for material changes, notify account administrators by email or in the app. Continued use of the Service after the changes take effect constitutes acceptance.
